Membership of the Executive Committee
As stated in the Bylaws, the Executive Committee consists of the President, Past President or President-Elect, Vice-President, Secretary, and Treasurer.
Authority and Responsibilities of the Executive Committee
Authority for the operations of The College Music Society and implementation of the policies of its Board of Directors are vested in the Executive Committee.
The authority and responsibilities of the Executive Committee are provided in Article III of the Bylaws:
The Executive Committee shall function as the operating committee of the Society and shall implement the policy decisions of the Board of Directors; have control and management of the affairs and funds of the Society between meetings of the Board of Directors; and conduct the business of the Society. The Executive Committee shall be responsible to the Board of Directors.
In addition to the general authorities noted above, the Bylaws provide for other expectations and requirements of and support for the Executive Committee as noted below:
Bylaws, Article IV, Section 7 - The Board Members shall... advise and assist the Executive Committee concerning the operations of the Society.
Bylaws, Article IV, Section 8 - Vacancies among the officers arising between Annual Meetings shall be filled by the Executive Committee.
Bylaws, Article V - This Article provides for the authority of the Executive Committee in being responsible for the Executive Director and the Executive Office.
Bylaws, Article VI, Section 1 - [The Board of Directors] may delegate its functions from time to time in whole or in part to the Executive Committee and may revoke such delegation. The Executive Committee shall at all times be ultimately responsible to the Board of Directors.
Bylaws, Article VII, Section 3 - There shall be an annual meeting of the membership of the Society at a time and place fixed by the Executive Committee. Special meetings may also be held at places and on dates fixed by the Executive Committee.
Bylaws, Article VI, Section 4 - [The] Executive Committee shall meet at least twice annually.
In summary, while always responsible to the Board of Directors, the Executive Committee
(1) implements the policy decisions of the Board of Directors;
(2) has control and management of the affairs and funds of the Society between meetings of the Board of Directors;
(3) conducts the business of the Society;
(4) receives advice and assistance from the Board of Directors as needed;
(5) fills vacancies among the officers arising between Annual Meetings;
(6) is responsible for the Executive Director and the Executive Office;
(7) fixes the time and place of the annual meeting and any special meetings of the membership; and
(8) meets at least twice annually.
Quorum and Voting
The quorum of and voting by the Executive Committee are provided in Article III of the Bylaws:
A quorum of the Executive Committee shall be four. In case of necessity, the members may communicate their votes on any matter by mail, telephone, or electronic media.
Meetings of the Executive Committee
Officers are required to attend and provide reports of activities at meetings. As required by the Bylaws, the Executive Committee meets at least twice each year. Usually two meetings are held, one during the spring following the meeting of the Board of Directors and one in the fall following the annual National Conference. These meetings are supplemented as necessary with telephone conference calls or written Consent Minutes.
Meetings are scheduled for the following year as soon as possible following the election of officers each spring.
The College Music Society covers all transportation, lodging, and meal expenses for these meetings.
